Client Responsibilities

To ensure project success, clients are expected to provide:

• Prompt project feedback and approvals
• Valid access permissions to required platforms, hosting accounts, domain registrars, and relevant third-party tools

Any project delays resulting from missing details, late feedback, or restricted access will naturally impact timelines and final delivery dates.

Revisions and Scope Changes

A reasonable number of revisions may be included based on the agreed-upon project scope. Modifications or additions requested outside this original framework may incur extra fees and extend the project timeline.

Micro SEO is not liable for project delays, mistakes, or performance drops caused by incomplete, incorrect, or delayed information from the client.

Intellectual Property

Unless mutually agreed upon in writing, ownership of all final deliverables built specifically for the client will transfer over upon receipt of full and final payment.

Micro SEO retains complete ownership of:

• Pre-existing proprietary materials and assets
• Internal workflows and operational methodologies
• Proprietary tools, baseline templates, systems, and technical know-how
• Any third-party elements or software that operate under separate licensing terms

Clients are solely responsible for ensuring that all copy, trademarks, logos, graphics, and materials provided to us are either owned by them or properly licensed for commercial use.

Third-Party Platforms

Our solutions may interface with or rely on third-party utilities, including but not limited to Google, Meta, WordPress, web hosting companies, analytics tools, plugins, booking applications, CRMs, and payment gateways.

We do not accept liability for service disruptions, policy modifications, account bans, platform updates, server downtime, or functionality issues stemming from these third-party services.

No Guarantee of Results

While we apply our expertise to deliver high-quality assets and effective marketing strategies, we do not promise or guarantee specific business metrics, including but not limited to:

• Inbound website traffic numbers
• Lead generation volume
• Sales or conversion rates
• Ad campaign ROI
• Social media follower growth

Marketing outcomes fluctuate based on market dynamics, industry competition, ad budgets, ongoing platform updates, and client collaboration.

Limitation of Liability

To the maximum extent permitted by applicable law, Micro SEO will not be held liable for any indirect, accidental, special, consequential, or punitive damages. This includes, without limitation, loss of profits, data loss, missed business opportunities, or operational downtime resulting from the use of our website or services.

Our maximum total liability for any legal claim connected to our services will not exceed the total dollar amount actually paid to us for the specific service in question.

Termination

• Invoices remain unpaid past their due dates

• The client violates these Terms or any active service contract
• The professional relationship becomes hostile, unlawful, or unsustainable

Clients may request to terminate services in writing, provided they settle payments for all tasks completed and cover any non-refundable expenses incurred up to the formal termination date.
